1. Program Sponsor & Platform

VitalAI, Inc. (dba Dentina.Ai) (“VitalAI,” “we,” “us,” or “our”) operates the Dentina.Ai Referral Program (“Program”) and administers it through the third-party platform Referral Rock (“Platform”).

2. Eligibility

  • Referrer – Any individual or entity that VitalAI authorizes to participate and that obtains a valid referral link or code through the Platform. (For some campaigns, the Offer Details may require the Referrer to be an active customer; if so, that requirement will be stated there.)

  • Referee – A new customer that:

    1. has not held a paid or trial Dentina.Ai subscription within the past 12 months, and

    2. signs up through the Referrer’s unique link or code.

  • VitalAI employees, resellers, and partners are excluded unless expressly invited in writing.

3. How to Make a Qualified Referral

  1. Log in to Referral Rock to copy your unique referral link or code.

  2. Share it in a lawful, non-spam manner.

  3. A referral becomes Qualified once the Referee (i) uses the link/code, (ii) completes the Dentina.Ai sign-up flow, (iii) provides valid payment information, and (iv) pays at least one invoice that is not refunded or charged back 30 days after payment.

4. Program Rewards

Reward type, value, timing, expiration, and any limits are defined in the Offer Details for the specific campaign in which you enroll. Unless those Offer Details say otherwise:

  • Rewards have no cash value, are non-transferable, and may be applied only to future fees owed to VitalAI.

  • Rewards are forfeited if the related account is cancelled, suspended for non-payment, or downgraded to a free tier.

5. Prohibited Conduct

Bulk email, paid ads bidding on VitalAI or Dentina trademarks, fake or self-referrals, and any deceptive, abusive, or unlawful tactics void the referral and may lead to account suspension or termination.

6. Program Changes & Termination

VitalAI may modify, suspend, or terminate the Program—or these T&C—at any time, with or without notice. Changes do not affect rewards already earned for Qualified Referrals submitted before the effective change date.

7. Taxes

Participants are responsible for any applicable taxes on rewards received.

8. Privacy & Data Sharing

By participating, Referrers and Referees authorize VitalAI and Referral Rock to share limited information (e.g., names, practice name, referral status) solely for confirming reward eligibility, fraud prevention, and Program administration.

9. Limitation of Liability

To the maximum extent permitted by law, VitalAI’s total liability to any participant arising from the Program will not exceed the value of rewards the participant earned during the 12 months preceding the claim.

10. Governing Law & Dispute Resolution

These T&C are governed by the laws of the State of California, without regard to its conflict-of-law rules.

Arbitration. Any dispute, claim, or controversy arising out of or relating to the Program or these T&C shall be resolved exclusively by binding arbitration in Los Angeles County, California, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Judgment on the award may be entered in any court having jurisdiction. Participants waive any right to a jury trial or to participate in a class action.

11. Entire Agreement & Severability

These T&C constitute the entire agreement regarding the Program and supersede all prior communications. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
